Please read these Terms of Service ("Terms") carefully before using the websites, applications, and services operated by DearHim, Inc. ("DearHim," "DearHer," "we," "us," or "our"), including dearhim.ai, dearher.ai, and all related features, tools, and content (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

1.1 Age Requirement

You must be at least 18 years of age to use the Service. By creating an account or using the Service, you represent and warrant that you are at least 18 years old. If we learn or have reason to believe that a user is under 18, we will immediately terminate the user's account and delete their data.

1.2 Legal Capacity

By using the Service, you represent that you have the legal capacity to enter into a binding agreement and are not barred from using the Service under any applicable law.

1.3 Geographic Restrictions

The Service is available to users in jurisdictions where the Service is not prohibited by law. You are responsible for compliance with local laws in your jurisdiction.

2. Artificial Intelligence Disclosure

2.1 AI-Generated Content

All characters on the DearHim and DearHer platforms are AI-generated. They are not real people. You are interacting with artificial intelligence, not a human being.

All character names, personalities, backstories, physical descriptions, and images are entirely fictional. Character responses are generated by large language models (LLMs). Character voices are generated by text-to-speech technology. Character photos are generated by AI image generation models. No real person's likeness, voice, or identity is used.

2.2 No Professional Advice

The Service does not provide and is not a substitute for professional advice of any kind, including but not limited to:

Mental health counseling, therapy, or psychiatric treatment.
Medical advice, diagnosis, or treatment.
Legal advice or legal representation.
Financial or investment advice.

AI character responses, including Wingman text analysis, dating advice, and reply suggestions, are generated by AI algorithms and are provided for entertainment and informational purposes only. They should not be relied upon as professional guidance. Always seek the advice of qualified professionals for mental health, medical, legal, or financial matters.

2.3 No Guarantee of Accuracy

AI-generated content may contain errors, inaccuracies, biases, or inappropriate content. We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content. You use AI-generated advice, text analysis, and suggestions at your own discretion and risk.

2.4 Suitability Warning

Companion chatbots may not be suitable for all users. If you experience distress, discomfort, or negative psychological effects from using the Service, please discontinue use and seek support from a qualified professional or crisis service provider.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@dearhim.ai if you become aware of any unauthorized use of your account or any security breach.

3.3 One Account Per Person

Each individual may maintain only one account. We reserve the right to terminate duplicate accounts.

3.4 Account Termination by User

You may delete your account at any time through the Service or by contacting support@dearhim.ai. Upon account deletion, we will delete or anonymize your personal information in accordance with our Privacy Policy.

4. Subscription Plans and Payments

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans provide limited access to features. Paid plans ("Pro" and "Premium") provide expanded access, as described on our pricing page.

4.2 Pricing

Current pricing is available at dearhim.ai/pricing. We reserve the right to change pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle after notice is provided.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe, Inc. By subscribing, you authorize us to charge the payment method on file for the applicable subscription fee.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will continue to have access to paid features until the end of the period you have already paid for.

4.5 Refund Policy

All fees are non-refundable except as required by applicable law. We do not provide refunds or credits for partial subscription periods, unused features, or content or data that was available during an active subscription. If you believe you have been charged in error, contact support@dearhim.ai within 14 days of the charge.

4.6 One-Time Purchases and Credits

Certain features may be available as one-time purchases (such as character unlocks) or via credit packs. One-time purchases and credits are non-refundable and non-transferable. Credits have no cash value and expire 12 months after purchase unless otherwise stated.

4.7 Free Trial

If we offer a free trial, you will not be charged during the trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the then-current rate, and your payment method will be charged.

4.8 Price Increases

We may increase subscription prices upon at least 30 days' notice. If you do not agree to a price increase, you may cancel your subscription before the increase takes effect.

5. Content and Conduct

5.1 Your Content

"Your Content" means any text, messages, images, or other materials you submit, upload, or transmit through the Service, including messages sent to AI characters and content submitted to the Wingman feature.

You retain ownership of Your Content. By submitting Your Content to the Service, you grant DearHim a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, and display Your Content solely for the purpose of operating, providing, improving, and developing the Service. This license terminates when you delete Your Content or your account, except to the extent Your Content has been included in aggregated or anonymized datasets.

5.2 Prohibited Conduct

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights.
Provide false or misleading information during registration or use.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Engage in any activity that could harm, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service.
Use the Service to harass, abuse, threaten, or intimidate any person, including AI characters as a proxy for threats directed at real individuals.
Use the Service to generate, store, or distribute content that depicts or promotes child sexual abuse or exploitation of minors.
Use automated scripts, bots, scrapers, or other automated means to access the Service without our express written permission.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms underlying the Service or its AI models.
Resell, redistribute, or sublicense any part of the Service without our express written permission.
Use the Service to develop competing products or services.
Circumvent, disable, or interfere with any security or access-control features of the Service.

5.3 Intimate and Sexually Explicit Content

The Service may include AI-generated intimate or sexually explicit content ("NSFW Content") as an optional feature for adult users. By enabling the "Allow Deeper Intimacy" setting, you represent and warrant that:

You are at least 18 years of age.
You are accessing this content in a jurisdiction where such content is legal.
You understand that all NSFW Content is AI-generated and fictional.
You consent to receiving AI-generated content of an intimate or sexual nature.

NSFW Content is generated by AI and does not depict, represent, or involve real individuals. NSFW Content is never generated involving minors under any circumstances. We reserve the right to disable or restrict access to NSFW Content at any time, for any reason.

5.4 AI-Generated Content Ownership

AI-generated content (character responses, voice notes, images, Wingman analyses, and reply suggestions) is provided to you for your personal, non-commercial use. You may share Wingman decode cards and other AI-generated content through the Service's sharing features. You may not use AI-generated content from the Service for commercial purposes without our express written permission.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, text, graphics, logos, icons, images, audio, software, AI models, character designs, character names, and all other content and materials (collectively, "DearHim Content"), is the property of DearHim, Inc. or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Trademarks

"DearHim," "DearHer," "Wingman," the DearHim logo, the DearHer logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DearHim, Inc. or its affiliates. You may not use these marks without our prior written permission.

6.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

7. SMS Messaging Terms

7.1 Opt-In

By providing your phone number and checking the consent box in your account settings, you agree to receive SMS messages from DearHim. These messages may include character messages, dating insights, Wingman follow-ups, and account notifications.

7.2 Message Frequency

Message frequency varies based on your interaction and settings. You may receive up to several messages per day.

7.3 Opt-Out

You may opt out at any time by replying STOP to any message or by disabling the "Text Me" feature in your account settings. After opting out, you will not receive further SMS messages unless you re-subscribe. Reply HELP for support or contact support@dearhim.ai.

7.4 Costs

Message and data rates may apply depending on your carrier and plan. DearHim is not responsible for any charges imposed by your mobile carrier.

7.5 Carrier Liability

Carriers are not liable for delayed or undelivered messages. DearHim is not responsible for messages that are not delivered due to carrier issues, network outages, or device incompatibility.

No mobile information collected through our SMS program will be shared with third parties or affiliates for marketing or promotional purposes. Your phone number and SMS consent data are used solely to deliver the DearHim SMS messaging service you opted into.

8. Crisis Prevention and Mental Health

8.1 Crisis Protocol

In compliance with California SB 243, we maintain a protocol for detecting and responding to expressions of suicidal ideation, suicide, or self-harm content. When our system detects that a user may be in crisis, the Service will:

Provide a notification referring the user to crisis service providers, including the 988 Suicide & Crisis Lifeline and Crisis Text Line.
Prevent the AI from generating content that encourages, promotes, or facilitates suicidal ideation, suicide, or self-harm.

8.2 Published Protocol

Details of our crisis prevention protocol are published at dearhim.ai/safety.

8.3 Limitation

While we implement commercially reasonable measures to detect crisis situations, our AI systems are not infallible. The Service is not a mental health service and is not a substitute for professional mental health care. If you are in crisis, please contact 988 (Suicide & Crisis Lifeline), text HOME to 741741 (Crisis Text Line), or call 911 (emergency services).

8.4 Suitability

Companion chatbots may not be suitable for all users, including some minors. The Service is restricted to users 18 years of age and older.

9. Third-Party Services

The Service integrates with and relies on third-party services including Anthropic (AI), ElevenLabs (voice), Replicate (images), Stripe (payments), Clerk (authentication), Supabase (database), Twilio (SMS), and Vercel (hosting). Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the acts or omissions of third-party service providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free.
The results obtained from the Service will be accurate, reliable, or complete.
Any AI-generated content, advice, text analysis, reply suggestions, or dating intelligence will be accurate, appropriate, or suitable for your circumstances.
Any errors in the Service will be corrected.
The Service will meet your expectations or requirements.

You acknowledge that AI-generated content is inherently imperfect and may produce incorrect, inappropriate, biased, or misleading results. You use the Service and any AI-generated content at your own risk.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEARHIM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF DEARHIM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEARHIM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DEARHIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Basis of the Bargain

You acknowledge that the limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and DearHim, and that DearHim would not provide the Service without such limitations.

11.4 Specific Disclaimers

Without limiting the general disclaimers above, DearHim specifically disclaims liability for:

Reliance on AI-Generated Content: Any actions you take based on AI-generated text analysis, dating advice, reply suggestions, or other content from the Service. The Service provides entertainment and informational content, not professional advice.
Emotional or Psychological Impact: Any emotional distress, psychological harm, or negative emotional experiences arising from your interactions with AI characters on the Service.
Third-Party Interactions: Any outcomes, positive or negative, arising from interactions with real people that were influenced by content generated by the Service, including Wingman reply suggestions, dating advice, or text analysis.
SMS Messages: Any costs, damages, or inconvenience arising from SMS messages sent by the Service to users who have opted in.
Data Loss: Any loss of data, including conversation history, account information, or preferences, except to the extent caused by our gross negligence or willful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless DearHim, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of or access to the Service.
Your violation of these Terms.
Your violation of any third-party right, including any intellectual property right, publicity right, confidentiality right, or privacy right.
Any content you submit, upload, or transmit through the Service.
Your violation of any applicable law or regulation.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@dearhim.ai and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, you and DearHim agree to resolve any and all disputes, claims, or controversies arising out of or relating to the Service or these Terms through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

Arbitration will be conducted in English, in the county where you reside (or, at your election, in Los Angeles County, California). The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND DEARHIM AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and DearHim agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, consolidated, or representative proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13.5 Opt-Out of Arbitration

You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@dearhim.ai within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of binding arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

15. Termination

15.1 Termination by You

You may terminate your account at any time by deleting your account through the Service or by contacting support@dearhim.ai.

15.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe that:

You have violated these Terms.
You are under 18 years of age.
Your use of the Service poses a risk to other users, third parties, or DearHim.
Your account has been inactive for an extended period.
Continued provision of the Service to you is no longer commercially viable.

15.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We are not obligated to maintain, return, or provide copies of Your Content after termination. Sections that by their nature should survive termination will survive, including Sections 5.1, 6, 10, 11, 12, 13, 14, and 17.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and DearHim regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

DearHim shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including natural disasters, acts of government, internet or telecommunications failures, power outages, third-party service provider outages, pandemics, or other force majeure events.

16.6 Notices

We may provide notices to you by email, through the Service, or by posting on our website. You may provide notices to us by emailing legal@dearhim.ai.

16.7 Headings

Section headings in these Terms are for convenience only and do not affect the interpretation of the Terms.

17. Assumption of Risk

You acknowledge and agree that:

AI-generated content may be inaccurate, incomplete, biased, inappropriate, or offensive.
AI characters are fictional and their responses do not reflect the views, opinions, or advice of DearHim, Inc. or any real person.
The Service is not designed to provide crisis intervention, mental health treatment, medical advice, legal advice, or financial advice.
Your use of AI-generated dating advice, text analysis, and reply suggestions is at your own risk and discretion. DearHim is not responsible for any outcome, positive or negative, that may result from following or relying on AI-generated content.
The emotional connections you may develop with AI characters are simulated and do not constitute real human relationships.
AI characters do not have consciousness, feelings, emotions, or awareness. Any appearance of such is a product of the AI's design and programming.

18. Modifications to the Service and Terms

18.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

18.2 Terms Modifications

We may revise these Terms at any time by posting the updated version on our website with an updated "Last Updated" date. Material changes will be communicated via email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
