Partner Program Terms

These Partner Program Terms ("Partner Terms") govern your participation in the DearHim Partner Program ("Program"). By applying for and accepting acceptance into the Program, you ("Partner," "you," or "your") agree to these Partner Terms with DearHim, Inc. ("DearHim," "we," or "us").
If you have applied to be a partner but have not been accepted, these Partner Terms do not yet apply to you.
1. Eligibility
To be a Partner you must:
- Be 18 years of age or older.
- Have a public social media presence (Instagram, TikTok, YouTube, Substack, or another platform we approve) with at least 5,000 followers in an audience relevant to dating, relationships, mental health, or another topic we approve.
- Reside in a jurisdiction where this Program is permitted by law.
- Have a payment method we can pay (PayPal, Stripe Connect, US bank account, or another method we support).
- Not be on any US Government sanctions list (OFAC).
- Not have been previously banned from a DearHim, DearHer, DearUs, or other DearHim, Inc. service for cause.
We reserve the right to reject any partner application or to terminate a partner agreement at any time, with or without cause, in our sole discretion.
2. The Partnership
2.1 What We Provide
When you are accepted as a Partner, we provide:
- A unique partner attribution link (
dearhim.ai/c/{your-handle}). - Access to the partner dashboard at
/partner/dashboard. - Access to the content kit at
/partner/assets. - Commission on referred users who sign up and convert to paid (see Section 3 below).
- A dedicated partner support contact at
partners@dearhim.ai.
2.2 What You Agree to Do
- Promote DearHim, DearHer, and (when launched) DearUs in good faith to your audience.
- Use the attribution link or the unique referral codes we provide so signups are credited to you.
- Comply with FTC endorsement guidelines (see Section 5).
- Comply with platform-specific rules (Instagram, TikTok, YouTube terms of service).
- Provide accurate tax information (W-9 for US partners, W-8BEN for non-US partners).
2.3 You Are Not an Employee
You are an independent contractor. Nothing in these Partner Terms creates an employment, agency, partnership, or joint venture relationship between you and DearHim. You are responsible for your own taxes, expenses, and compliance with applicable laws governing your activities as a partner.
3. Commission Structure
3.1 Commission Rate
We pay you 30% of the monthly recurring revenue (MRR) from each user who signs up via your attribution link or unique referral code and converts to a paid subscription.
For DearUs Concierge purchases (one-time, non-MRR), commission is 15% of the purchase price.
3.2 Attribution Window
A user is considered "your" referral if they:
- Click your attribution link (
dearhim.ai/c/{your-handle}), OR - Sign up using your unique referral code,
within 60 days before signing up. The most recent partner click within the 60-day window is the attributed partner. (Standard last-click attribution.)
3.3 Commission Begins After Clawback Window
For each referred paid signup:
- A 30-day clawback window runs from the date of the user's first paid subscription.
- If the user cancels, refunds, or chargebacks within the clawback window, no commission is paid.
- If the user remains paid past the clawback window, commission begins to accrue on the next billing cycle.
3.4 Commission Continues As Long As the User Is Paid
You earn commission every month the referred user remains a paid subscriber, with the following caveats:
- Maximum commission lifetime: 24 months per referred user.
- If the user cancels and resubscribes more than 90 days later, the resubscription does not re-attribute to you.
- If the user changes plans, commission is calculated on the new MRR.
3.5 Payouts
- Commissions accrue monthly.
- Minimum payout threshold: $50.
- Payouts are issued monthly on the 15th for commissions earned in the previous month, subject to the clawback rules in Section 3.3.
- Payouts via PayPal, Stripe Connect, or US bank transfer (your choice during onboarding).
- We will issue you a 1099-NEC form annually if you are a US-resident partner who earned more than $600 in a calendar year.
3.6 No Stacking, No Self-Referral
- You cannot earn commission on your own subscription.
- You cannot stack commissions across multiple partner accounts (one partner account per person).
- You cannot incentivize signups by offering kickbacks (giving the referred user money or rewards in exchange for signing up via your link). This is a violation of FTC rules.
4. Approved Promotion Methods
You may promote DearHim using:
- Organic social media content (Reels, TikToks, YouTube videos, Stories, posts) on your own accounts.
- Email newsletters to your owned audience.
- Personal one-to-one messaging with people in your audience who you genuinely think would benefit from DearHim.
- Podcast mentions on shows you host or guest on (with disclosure).
- Blog posts and articles on your owned domains or platforms where you have content rights.
- Paid advertising — but only with our prior written approval (see Section 6).
You may NOT promote DearHim via:
- Spam (mass unsolicited DMs, mass cold email).
- Bots, automated posting, or fake engagement.
- Misleading claims (e.g., that DearHim is licensed therapy, or a real human, or anything else it isn't).
- Search engine bidding on DearHim's brand keywords ("DearHim," "DearHer," etc.).
- Trademark-infringing domain names.
- Affiliate networks or sub-affiliate programs we haven't approved.
- Coupon and deal sites (these tend to attract non-genuine signups).
- Adult-content platforms (DearHim is not adult content; misclassification damages our brand).
5. FTC Disclosure Requirements
You must comply with the FTC Endorsement Guides (16 CFR Part 255) when promoting DearHim. This means:
5.1 Clear Disclosure
Every piece of content promoting DearHim must include a clear and conspicuous disclosure that you have a paid partnership. Acceptable disclosures include:
- "#partner" or "#dearhimpartner" (Instagram, TikTok, YouTube)
- "This is a paid partnership with DearHim"
- "I'm partnered with DearHim and earn a commission if you sign up"
The disclosure must be:
- Visible without requiring scrolling or clicking.
- In language and format easily understood by a typical viewer.
- Above the "more" cutoff in TikTok captions and Instagram captions.
- Spoken aloud in video content (not just on-screen text).
5.2 Honest Endorsements
You may only make claims about DearHim that are truthful. Specifically:
- Don't claim DearHim is therapy, treatment, or medical advice (it isn't).
- Don't claim it works "guaranteed" for everyone (it doesn't).
- Don't fabricate testimonials about your experience with the Service.
- Don't compare DearHim to specific competitors in ways that disparage them.
If you haven't actually used DearHim, please do before posting about it. Authentic content performs better and is required by FTC rules.
5.3 Platform-Specific Requirements
- Instagram: Use the "Paid Partnership" tag in addition to your caption disclosure.
- TikTok: Toggle the "Branded Content" disclosure in the post settings.
- YouTube: Use the "Includes Paid Promotion" video setting and verbally disclose in the first 10 seconds.
5.4 Examples of Compliant Disclosures
✅ "This is a paid partnership with DearHim. I literally use it every day, but the discount link in my bio means I earn a commission if you sign up."
✅ "#dearhimpartner — I get a kickback if you sign up through my link, but I'd recommend it anyway."
❌ "Just discovered this app!" (no disclosure, sounds organic but isn't)
❌ "#ad" buried at the end of a 200-word caption below the "more" cutoff
6. Paid Advertising
You may run paid advertising promoting DearHim only with our prior written approval. Email partners@dearhim.ai with subject "Paid Ad Approval Request" and include:
- The platform you'll run on (Meta, TikTok, Google, etc.).
- Sample creative (image, video, copy).
- Targeting parameters.
- Budget.
Without approval, paid advertising you run will not be commission-eligible, and may result in termination from the Program.
7. Brand Use
We grant you a limited, non-exclusive, non-transferable license to use the DearHim, DearHer, and DearUs brand names and logos solely for the purpose of promoting the Service through approved channels. Specifically:
- You may use our logos and brand assets from
/partner/assets. - You may not modify our logos.
- You may not use our brand in a way that disparages, mocks, or misrepresents the Service.
- You may not register domain names containing "DearHim," "DearHer," "DearUs," or confusingly similar terms.
- You may not register trademarks containing our brand names.
- You may not bid on our brand keywords in paid search.
This license terminates immediately upon termination of your participation in the Program.
8. Confidentiality
In the course of the Program, we may share with you:
- Beta product features.
- Internal pricing or roadmap information.
- Aggregate performance data of the Program.
- Partner-specific financial information (your commissions and earnings).
You agree to keep this information confidential and not share it publicly or with third parties, except where required by law or with our prior written consent. This obligation continues for 2 years after termination of your participation.
9. Termination
9.1 By You
You may withdraw from the Program at any time by emailing partners@dearhim.ai with subject "Partner Withdrawal". Your attribution link will be deactivated within 7 days. You will receive any earned commissions through the date of withdrawal in the next regular payout cycle.
9.2 By Us
We may suspend or terminate your participation at any time, with or without cause:
- For cause (violation of these Partner Terms, fraud, brand harm, etc.): immediate termination, forfeiture of unpaid commissions, possible recovery of paid commissions if fraud is involved.
- Without cause (program changes, business decision): 30 days' notice, payment of all earned commissions through termination date.
9.3 Effect of Termination
Upon termination:
- Your attribution link is deactivated.
- Your access to the partner dashboard ends.
- You must remove all DearHim brand assets from your channels within 30 days.
- Existing referrals continue to generate commission per the rules above (subject to the 24-month cap), unless termination was for cause.
10. Indemnification
You agree to indemnify, defend, and hold harmless DearHim, its officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:
- Your violation of these Partner Terms.
- Your violation of any applicable law or regulation, including FTC rules.
- Your violation of any third party's intellectual property, publicity, or privacy rights.
- Content you publish that promotes DearHim.
- Your conduct as a partner generally.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEARHIM'S TOTAL LIABILITY TO YOU UNDER THESE PARTNER TERMS IS LIMITED TO THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
We are not liable for indirect, consequential, special, or punitive damages.
12. Modifications
We may modify these Partner Terms at any time by posting the updated version. Material changes (e.g., commission rate changes) will be communicated via email at least 30 days before they take effect. Your continued participation in the Program after the effective date constitutes acceptance.
If you do not agree to a modification, you may withdraw from the Program before the modification takes effect (Section 9.1) and receive any earned commissions through that date.
13. Dispute Resolution
Any dispute arising out of these Partner Terms is subject to the dispute resolution and arbitration provisions of our Terms of Service, Section 14, including binding arbitration and the class action waiver.
14. Governing Law
These Partner Terms are governed by California law without regard to conflict of law provisions.
